CHP BOARD CHARTER

The charter sets out the board’s role and responsibilities as well as the requirements for its composition and meeting procedures.

BUSINESS, FINANCE & PURCHASING COMMITTEE CHARTER PURPOSE 

The Business, Finance & Purchasing Committee (the “Committee”) of the Board (Board) of Capital Hotels Plc. (“CHP”) is set up to assist and provide advice or make recommendations to the Board on oversight of CHP business initiatives, providing the right mix of financing for the business while paying the right price for the right quality and quantity of items procured for the business.

NOMINATION, GOVERNANCE AND RISK COMMITTEE CHARTER

The Nomination, Governance & Risk Committee (the “Committee”) is set up by the board of directors (the “Board”) of Capital Hotels Plc. (“CHP”) to assist and provide advice or recommendations to the Board on Director nomination, Remuneration Policy, corporate governance, Risk matters and such other matters as are set out in this Charter or as may otherwise be assigned to the Committee by the Board.

STATUTORY AUDIT COMMITTEE CHARTER

The Statutory Audit Committee (the “Committee”) of Capital Hotels Plc. (“CHP”) is set up in accordance with section 359(3) and (6) of the Companies and Allied Matters Act, Cap. C20, Laws of the Federation of Nigeria 2004. Working in concert with the external audit firm, the internal audit function and interfacing with management, the Statutory Audit Committee oversees the financial reporting process of CHP to give assurance to the shareholders of CHP and the general public that the financial statements are well prepared and that they comply with laws and regulations.
